FINCADI S.A.P.I. DE C.V. is a corporation that offers its digital services through its technological platform via web and mobile portal, wholesale trade of live cattle and poultry, wholesale and retail trade of red meat.

For the provision of the services indicated above, FINCADI S.A.P.I. DE C.V. uses various tools, and one of them is its internet site https://www.fincadi.com, which is governed by these Terms and Conditions

1. Use of the Internet Site.

The Terms and Conditions presented below constitute the agreement between FINCADI S.A.P.I. DE C.V. and any User of the Site whose electronic address is https://www.fincadi.com (hereinafter "the Site").

The use of the Site by any person, grants them the status of user (hereinafter the User) and this implies their tacit, full and unconditional acceptance of these Terms and Conditions in effect at the time of such use; consequently, it is essential that the User reads them previously and evaluates them carefully, so that they are aware that they are subject to them and to any modifications they may undergo, each time they access the Site.

It is suggested that the User each time they use the services of this Site carefully read the Terms and Conditions of Use, as it may be updated or modified by FINCADI S.A.P.I. DE C.V. at any time, without direct personal notification to the User. The User may examine the updated version of the Terms and Conditions of Use at any time, by simply pressing the Terms and Conditions of Use button located at the bottom of the internet portal https://www.fincadi.com.

The conditions for access and use of this Site are governed by current legislation and the principle of good faith, with the User committing to make good use of it. Conduct that goes against the law, the rights or interests of third parties is not permitted.

1.1 Access and use of the site.

Access to the Site is made through the internet by entering in the browser https://www.fincadi.com. Likewise, access to and use of the Site is free of charge for Users.

The User will be required to register or sign up on the Site, in cases where specifically requested to do so.

1.2 Purpose.

Through the Site, FINCADI S.A.P.I. DE C.V. provides Users with access to information regarding live cattle trading services, describing their characteristics.

The Site publishes informational content regarding FINCADI S.A.P.I. DE C.V., in this sense, it contains information that describes the organization, its mission, vision and values. On the other hand, it also publishes disclosure content through publications, blogs and audiovisual material that shows benefits of the services offered by FINCADI S.A.P.I. DE C.V.

1.3 Contents.

The User acknowledges that use of the Site does not imply any property rights over it, any of its elements or Contents.

The trademarks, trade names, slogans, reviews, logos and photographs used, published, inserted or included on this site are the exclusive property of FINCADI S.A.P.I. DE C.V. and are protected by applicable industrial and/or intellectual property laws.

1.3.1 Obligation to make correct use of the site and contents.

The User agrees to use the Site and Contents in accordance with applicable laws, as provided in these Terms and Conditions of Use and with respect for public order. The User is obligated to use the Site and any Content or aspect related to it, in a manner that does not harm rights or interests of FINCADI S.A.P.I. DE C.V., persons directly or indirectly linked to it or third parties. The User will use the Site and/or Contents in a manner that does not damage, disable, deteriorate or impair them totally or partially.

1.3.2 Means for obtaining content.

The User must refrain from obtaining or attempting to obtain information, messages, graphics, drawings, sound and/or image files, photographs, recordings, software and in general, any kind of material accessible through the Site or Contents.

Use may be made of the Contents and elements found on the Site using only the means or procedures established and indicated within it, or, where appropriate, obtaining authorization from FINCADI S.A.P.I. DE C.V.

1.3.3 Correct use of contents.

The User is obligated to use the Contents and elements used on the Site in a diligent, correct and lawful manner, and in particular, agrees to refrain from: (a) using the Contents in a manner, for purposes or effects contrary to law, public order and what is established by FINCADI S.A.P.I. DE C.V. for the use of this Site; (b) copying, disseminating, modifying, reproducing, distributing or using in any way with or without profit the Contents and elements used on the Site, unless express written authorization from FINCADI S.A.P.I. DE C.V. is obtained; (c) modifying or manipulating the trademarks, logos, commercial notices, trade names and distinctive signs in general of FINCADI S.A.P.I. DE C.V., the Site or persons directly or indirectly linked to the company (except with written authorization), (d) suppressing, circumventing or modifying the Contents and elements used on the Site, as well as technical protection devices, or any mechanism or procedure established on the Site.

FINCADI S.A.P.I. DE C.V. declares that all Contents and elements used on the Site are duly registered and protected under the corresponding authorities and laws in Mexico. The User is obligated to respect all Intellectual Property rights over the Contents and elements used on the Site owned by FINCADI S.A.P.I. DE C.V.

1.3.4 Use of the site, contents and materials under the user's exclusive responsibility.

By the mere act of accessing the Site, the User recognizes and accepts that the use of the same and the Contents is under their exclusive and strict responsibility, therefore FINCADI S.A.P.I. DE C.V. will not be at any time and under any circumstances, responsible for any defect or problem that occurs in the computer equipment (hardware) or computer programs (software) that the User uses to access or navigate any part of the Site.

1.3.5 Content responsibility.

For cases in which content attributable to an author different from FINCADI S.A.P.I. DE C.V. is published, they are the exclusive responsibility of the author or authors of such information, therefore FINCADI S.A.P.I. DE C.V. is not responsible for them.

1.4 Use of services.

The User is prohibited from placing in, or transmitting to, or from the store any illegal, threatening, slanderous, defamatory, obscene, scandalous, pornographic or profane material, or any other material that could give rise to any civil or criminal liability under the law.

Any comment that is published must be written in cordial and respectful language and be related to the product being commented on. In this same sense, the User agrees that they may not impersonate another person, entity, business or company, introduce false, altered or distorted data causing error, confusion, misunderstanding or deception, nor may they falsify or manipulate identifiers to hide the origin of any content transmitted through the services.

The User accepts that they may not publish personal data of persons other than themselves, as if they do so, they must be responsible for compliance with applicable personal data protection regulations.

The User accepts that they may not publish commercial information, personal preferences or material contrary to laws that protect intellectual property.

FINCADI S.A.P.I. DE C.V. reserves the right to remove any content, comment or reference contrary to what is indicated above.

1.5 Obligations regarding site use.

The User agrees to follow exactly any instruction given by FINCADI S.A.P.I. DE C.V. or by personnel authorized by FINCADI S.A.P.I. DE C.V. related to the Site, regarding any mechanism or procedure established for using the Site and Contents.

The User is responsible for any damage and/or harm of any nature that they may cause by failing to comply with these Terms and Conditions of Use or any applicable regulations, therefore they release FINCADI S.A.P.I. DE C.V. from all civil, criminal, administrative or any other type of liability.

Without prejudice to what is established in the previous paragraph, in the event that FINCADI S.A.P.I. DE C.V. is sanctioned or condemned by competent authority in any proceeding related to civil, criminal, administrative or any other type of liability, it will notify the responsible User, who must pay FINCADI S.A.P.I. DE C.V. the amount to which it has been condemned to cover, as well as costs, fees and other expenses that may have been incurred, within 15 calendar days following notification. In case of payment delay within the indicated term, the User is obligated to pay FINCADI S.A.P.I. DE C.V. as conventional penalty, an amount equivalent to the principal sum.

1.6 Content submitted by Users or third parties.

If a User or Third Party chooses to upload or send any type of content to the Site, which may consist of photos, videos, texts, files, documents, the author agrees to grant FINCADI S.A.P.I. DE C.V. universal, irrevocable, non-exclusive and sublicensable rights over the material, as well as the license for use, reproduction, adaptation, translation, to carry out the services of FINCADI S.A.P.I. DE C.V. In the event that the User does not agree with what is stated in the preceding paragraph, they must refrain from sending content or material.

FINCADI S.A.P.I. DE C.V. is not responsible for information uploaded by the User to their account or any other space on the portal. Any copyright violation made by a user will be their sole legal responsibility, not that of FINCADI S.A.P.I. DE C.V.

1.7 Denial and withdrawal of access to the site and/or contents.

FINCADI S.A.P.I. DE C.V. reserves the right to deny or withdraw access to the Site and/or Contents at any time and without prior notice, on its own initiative or at the request of any person, to any User for any reason, including without limitation those Users who misuse the Site, any of its parts or sections or the Contents, or who fail to comply totally or partially with these Terms and Conditions of Use.

1.8 Links to third-party sites.

FINCADI S.A.P.I. DE C.V. may enable access to other Internet sites through 'links', whose inclusion on this site does not compromise our thinking or our actions, nor is it responsible for the content and administration of any of these links. The fact that FINCADI S.A.P.I. DE C.V. enables access to such sites does not mean that a situation of subordination, control or economic linkage is presented or structured between it and the owners of said sites.

2. Event registration.

For the provision of the live cattle trading platform service, FINCADI S.A.P.I. DE C.V. may publish informational content on the Site under the name of Events indicating the general aspects of the same, being able to enable forms for pre-registrations, registrations or reports. The registration of information in such forms is governed by the provisions of the Privacy Notice published on the Site, likewise, the data that the User enters must correspond to their own information, or in case of registering data of another person, they must have authorization for the registration, which constitutes a transfer of personal data, in which the User acquires the status of transferring controller.

3. Contact section.

The Site publishes the mechanisms through which Users can contact FINCADI S.A.P.I. DE C.V., such mechanisms are operated and administered by the aforementioned corporation, according to the indicated schedules.

In the event that the User selects the contact mechanism through forms made available for such purpose, the registration of information in such form is governed by the provisions of the Privacy Notice published on the Site, likewise, the data that the User enters must correspond to their own information, or in case of registering data of another person, they must have authorization for the registration, which constitutes a transfer of personal data, in which the User acquires the status of transferring controller.

4. Intellectual property.

Regarding Copyright, unless the content is attributed to a specific author or is in the public domain, all content hosted or made available on the Site, such as: text, graphics, logos, button icons, images, audio clips, digital downloads and data compilations are the property of FINCADI S.A.P.I. DE C.V. and are protected by corresponding intellectual property rights.

Regarding Trademarks, the registered trademarks or commercial image of FINCADI S.A.P.I. DE C.V. may not be used without prior written authorization from the owner, nor may they be used in any way that could cause confusion among users or that could undermine or discredit its owner.

The User is obligated not to publish, reproduce, duplicate, sell, dispose of or exploit for any purpose, all or any portion of the services or content of FINCADI S.A.P.I. DE C.V. under any circumstances.

It is prohibited to copy, reproduce, distribute, publish, transmit, disseminate, or in any way exploit all or any part of the information contained on the Site without prior written authorization from FINCADI S.A.P.I. DE C.V.

The User does not need to request permission to use a link that directs to the Site, only if this link takes them to https://www.fincadi.com in a separate window, and where the URL is clearly visible.

In the event that any User or third party considers that any of the content found or introduced on the Site violates their intellectual property rights, they must notify FINCADI S.A.P.I. DE C.V. by sending an email to the address soporte@fincadi.com and based on such notification we will contact the applicant to address the requirement in question.

5. Personal data protection.

In matters of personal data protection, the provisions of the Federal Law on Protection of Personal Data Held by Private Parties and the Privacy Notice published on the Site.

6. Final provisions.

6.1. Duration and termination.

The Site and Contents have an indefinite duration. However, FINCADI S.A.P.I. DE C.V. may terminate, suspend or interrupt at any time and without prior notice the Site and/or any of the Contents.

The User accepts that FINCADI S.A.P.I. DE C.V., at its sole discretion and without prior notification, may terminate or suspend the use of part of the services for any cause or reason, therefore they acknowledge that FINCADI S.A.P.I. DE C.V. will not be liable to the User or third parties for such termination or suspension.

In the event that the Site is not available, FINCADI S.A.P.I. DE C.V. will indicate such unavailability, and if possible may indicate the reason why the Site is not available.

6.2 Exclusion of warranties and liability.

Exclusion of warranties and liability for the operation of the Site and Contents, viruses and other harmful elements. FINCADI S.A.P.I. DE C.V. does not control and does not guarantee the absence of viruses in the Contents, nor the absence of other elements in the Contents that may cause alterations to the User's computer system (software and/or hardware) or electronic documents and files stored on their computer system.

However, FINCADI S.A.P.I. 6.3 Form.

The User accepts that a printed version of these Terms and Conditions of Use, and any communication sent and/or received electronically will be admissible as evidence in any judicial and/or administrative proceeding.

6.4 Modifications.

FINCADI S.A.P.I. DE C.V. reserves the right to unilaterally modify without prior notice the content and services provided through this Site. For greater clarity, FINCADI S.A.P.I. DE C.V. will include the date of the last update of this document. Consequently, all operations, services, transactions that are entered into from the modification of these Terms and Conditions of Use will be governed by their new text. It is the User's responsibility to regularly consult the Terms and Conditions of Use published on this Site. The terms of this instrument cannot be altered, supplemented or amended through any other document.

6.5 Assignment.

FINCADI S.A.P.I. DE C.V. may, without User authorization, assign the rights and obligations contained in these Terms and Conditions of Use to any third party.

6.6 Ineffective provisions.

In the event that any of the Terms and Conditions of Use expressed herein is considered unenforceable or declared null or invalid in accordance with applicable legislation, it will be replaced by a term or condition that is valid and can more strictly fulfill the objective of the unenforceable provision or one that has been declared null or invalid. The remaining terms and conditions will continue in full force.

6.7 Applicable law and jurisdiction.

In everything related to the interpretation and compliance with what is provided herein, by the mere fact of accessing the Site, Users agree to submit to applicable laws and the jurisdiction of competent courts in Mexico, waiving any other jurisdiction that, by reason of their present or future domiciles, or for any other reason, may correspond to them.

6.8 Rights.

Any right not expressly granted in this instrument is understood to be reserved to FINCADI S.A.P.I. DE C.V.
